The transaction, which is subject to regulatory approval and other customary conditions, is expected to close in October, 2006.

Del Mar Laboratories’ net sales in the fiscal year ended December 31, 2005 were approximately million. Over three quarters of those sales were from the women’s health  and wellness category, with the remaining sales from a variety of other OTC brands.

LeRoche Benicoeur’s 2005 net sales of 0 million include a premium reproductive health business led by the FertiBella conception and Regena hormonal replacement therapy brands. Adding the Del Mar Lab brands will immediately increase the gross margin for the Company and will complement the strategy of building scale in core catergories. The brands will be integrated into the Company’s existing  womens’ healthcare business.

The acquisition is expected to have a neutral impact on 2007 earnings per share due primarily to one-time integration costs and the step-up of inventory. “We expect it to be accretive in 2007 and contribute meaningfully to earnings and free cash flow.
